CONSTITUTION AND BYLAWS
Of
THE ACCOUNTING SOCIETY
ARTICLE I – PURPOSE
The Accounting Society members declare that the purpose of this professional organization shall be to encourage study and understanding of accounting, social interaction, and service, with all phases of the accounting profession.
ARTICLE II – MEMBERSHIP
In compliance with the Regents Rules and Regulations (4.73), members are to be currently enrolled UT Tyler students, staff, and/or faculty with accounting interests.
ARTICLE III – CONSULTANTS
Consultants may include alumni, honorary affiliates, faculty, or other knowledgeable members of the accounting profession.
ARTICLE IV – OFFICERS
SECTION I
Officers of the Accounting Society shall include President, Vice-President, Secretary, Treasurer, and Historian.
SECTION II
All officers shall be elected at a regular organizational meeting in the month of April, and shall serve one-year terms until their successors are elected.
SECTION III
All officers shall be elected by a simple majority vote, with a run-off between the two leading contenders when necessary.
SECTION IV
No person shall hold more than one office with in the organization.
SECTION V
If at any time the President’s office becomes vacant, the Vice-President will become the President for the remainder of the term.
SECTION VI
If at any time an officer’s position (other than the President) becomes vacant, the president will have appointive power to fill that vacancy until a special election can be held at the next regular meeting.
SECTION VII
Any officer not fulfilling the terms of his or her duties may be removed from the office by a three-fourths vote of members. Notice of this proposed action must be given at a prior regular meeting.
ARTICLE V – MEETINGS
SECTION I
Regular meetings will be held at least once a month, at the discretion of the President, or two of the other officers.
SECTION II
Special meetings may be called by the President, or by two of the other officers, as needed.
SECTION III
Regular or special meeting times shall be posted at least one week in advance of the meeting.
ARTICLE VI – COST OF MEMBERSHIP
A due of twenty dollars per semester will be imposed on each member, which shall be collected by the second regular meeting.
ARTICLE VII – AMENDMENTS
SECTION I
Amendments may be proposed by any member of the organization. A special election will then be held for the proposals at the next regular meeting.
SECTION II
A two-thirds vote of the organizations members is needed for ratification of the proposed amendments with absentee voting conducted one week prior to the formal vote. Notice of proposed amendment will be made available two weeks prior to election.
SECTION III
The amendment, if ratified, shall be effective immediately.
ARTICLE VIII – RULES AND REGULATIONS
The Accounting Society will function in accordance with all university rules and regulations.

SECTION I
Duties of Officers: In addition to those previously defined, the officers of the Accounting Society will have the following duties:

President—Preside at all meetings of the organization, and appoint committee chairpersons and members, except members of Election Audit Committees. Arrange for guest speakers, meeting agendas, and/or field trips to the benefit of each member.

Vice President—Preside at meetings in the absence of the President and aid the President in his/her functions as necessary. Schedule and oversee all volunteer projects and community service including, but not limited to: Adopt-A-Hwy, Habitat-for-Humanity, and Humane Society.

Secretary—Take detailed minutes of meetings, and keep the general records- member contact information and points earned- of the organization. Inform each member of their points prior to each meeting via email or personal contact and also act as chairperson for the Résumé Book Committee in the event that such a committee is created.

Treasurer—Keep all monies of the organization in a special bank account, disburse monies with the approval of the president, and keep complete financial records of the organization. Provide refreshments and food as seen fit for each meeting with monies approved by the President.

Historian—Create fliers for each meeting and special event. Take photographs of all events and compile a visual history at the end of each calendar year to be kept in faculty advisor’s office. Upkeep website, if no other is available, and create certificates to award eligible members at the conclusion of each semester.
SECTION II
An Audit Committee of at least three members shall audit the Treasurer’s records at the end of each semester (committee members shall be chosen by members at a regular meeting).
SECTION III
All elections, general and special, shall provide for absentee voting. Absentee ballots must be turned in by the day of an election.
SECTION IV
An Election Committee will oversee all elections and tabulate the results (committee will be chosen by members at a regular meeting).
